LOS ANGELES, Feb. 16, 2024 (GLOBE NEWSWIRE) — K1 confirms that it made, on 15 February 2024, a non-binding proposal to the board of directors of MariaDB (the “Board”) to acquire, together with K1’s investment affiliates, all of the issued, and to be issued, share capital of MariaDB at a value of $0.55 per share (the “Possible Offer”). The terms of the Possible Offer represent:-

  • (i) a 189% premium to MariaDB’s closing share price on February 5, 2024, the last full trading day prior to the announcement by MariaDB of a potential forbearance agreement with RP Ventures LLC and Hale Capital Partners; and
  • (ii) a 114% premium to MariaDB’s average closing share price of the last 30 calendar days.

K1 has a high regard for the MariaDB business and looks forward to engaging with MariaDB in connection with the Possible Offer.

It is intended that the proposed transaction would be effected by way of an Irish law scheme of arrangement whereby K1, or its affiliates, would acquire 100% of the issued shares of the Company. However, K1 reserves the right to implement the proposal, instead, by way of contractual offer. The form and/or mix of the offer consideration has not yet been determined.

There can be no certainty that any offer will be made, nor as to the terms on which any such offer might be made.

In accordance with Rule 2.6(a) of the Irish Takeover Rules, K1 must, by no later than 5.00 p.m. on 29 March 2024 either announce a firm intention to make an offer for MariaDB in accordance with Rule 2.7 of the Irish Takeover Rules or announce that it does not intend to make an offer, in which case the announcement will be treated as a statement to which Rule 2.8 of the Irish Takeover Rules applies. This deadline may be extended with the consent of the Panel in accordance with Rule 2.6(c) of the Irish Takeover Rules.

Pursuant to Rule 2.5 of the Irish Takeover Rules, K1 reserves the right to amend the terms of any offer (including making the offer on less favourable terms or at a lower value than US$0.55 per share):

a) with the recommendation or consent of the Board, or an independent committee of the Board (as appropriate);

b) if any dividend or any other distribution or return of value is paid or becomes payable by MariaDB to MariaDB shareholders after the date of this announcement, in which case K1 will have the right to reduce the offer consideration by the amount of any dividend (or other distribution or return of value) which is paid or becomes payable by Maria DB to MariaDB shareholders;

c) following the announcement by MariaDB of a whitewash transaction pursuant to the Irish Takeover Rules on less favourable terms than those set out in this announcement; or

d) if a third party announces a firm intention to make an offer for MariaDB on less favourable terms than those set out in this announcement or at a lower value than $0.55 per share.

Disclosure Requirements under the Irish Takeover Rules

An ‘opening position disclosure’ must contain, among other things, details of the person’s ‘interests’ and ‘short positions’ in any ‘relevant securities’ of each of (i) MariaDB and (ii) any securities exchange offeror(s). South Africa welcomes UN court’s decision for Israel to ‘immediately’ implement provisional measures

ISTANBUL: South Africa on Friday welcomed the International Criminal Court's (ICJ) decision for Israel to "immediately" implement provisional measures in Rafah in the southern Gaza Strip. "The court has affirmed our view that the perilous situation demands immediate and effective implementation of the provisional measures indicated by the Court in its Order of 26 January 2024 which are applicable throughout the #GazaStrip and has clarified that this includes #Rafah," Clayson Monyela, spokesman for the Department of International Relations and Cooperation wrote on X. "The court notes that the most recent developments in the Gaza Strip and in Rafah in particular, 'would exponentially increase what is already a humanitarian nightmare with untold regional consequences,'' Monyela added. South Africa brought a genocide case against Israel to the ICJ in late December and asked it to grant emergency measures to end the bloodshed in Gaza, where more than 28,600 Palestinians have been killed since Oct. 7. The court on Jan. 26 ordered Israel to take "all measures within its power" to prevent acts of genocide in Gaza but fell short of ordering a cease-fire. It also ordered Israel to take "immediate and effective" measures to enable the provision of urgently needed basic services and humanitarian assistance in the Gaza Strip but fell short of ordering a cease-fire. 5-state veto power at UN Security Council has ‘no place in the 21st century,’ says Irish minister

ANKARA: The five-state veto power at the UN Security Council has "no place in the 21st century" and its misuse is spreading "anachronism," the Irish foreign minister said on Saturday. "The veto should go, in our view, it's an anachronism," Micheal Martin said at the Munich Security Conference in Germany, referring to the US using its veto power on several occasions to block a cease-fire in the Gaza Strip in the UN Security Council. 'It has no place in the 21st century. It really hasn't,' Martin said categorically, vowing that 'we really have to keep the pressure on that.' "We are in no doubt that the Security Council is dysfunctional," Martin said, pointing to the "dysfunctionality and the abuse of the veto situation at the Security Council." The minister also noted that "the Security Council hasn't managed (to issue) a statement even on Ukraine. That is an extraordinary failure," and the resolutions on Gaza "have been weak." US definitely in ‘strategic competition’ with China, says Blinken

ISTANBUL: The US is in a "strategic competition" with China, Secretary of State Antony Blinken said Saturday, emphasizing the importance of actively participating in the "multilateral system." "If you're not at the table in the international system, you're going to be on the menu," the top US diplomat quipped during a public forum at the Munich Security Conference in Germany. "It was important for us to re-engage multilaterally, and we've done that," said Blinken, adding that Washington has "made a reinvestment in our alliances, partnerships and the multilateral system. Because it's in our interest to do it." While noting that there is "no doubt" that the US is engaged in a "strategic competition" with China, he said, "we have an obligation to manage that relationship responsibly." In his remarks, Blinken, who met with his Chinese Foreign Minister Wang Yi on the margins of the event in Munich, said the US has "engaged in a sustainable way with China," over the last six or seven months. "That follows a se ries of meetings, most notably and most importantly, of President Joe Biden and President Xi Jinping," he added. Blinken also emphasized that the US, while competing against China in some areas, also has an interest in cooperating with Beijing. "Yes, we have a competition, the areas where we are contesting each other, but there are also areas we should cooperate because it's in our interest to do that," he said. "One of the best examples for that is our agreement with China on fentanyl, the number-one killer of Americans aged 18-49," Blinken added, referring to the synthetic opioid that has plagued the US in recent years. China calls for stepped up efforts to establish independent Palestinian state

ANKARA: China on Saturday called for accelerating efforts to establish an independent Palestinian state and for an end to the world's "longest-lasting injustice." "Generations of the Palestinian people have been displaced, unable to return to their home until this day. This is the longest-lasting injustice in our world," Foreign Minister Wang Yi said at the Munich Security Conference in Germany. "China calls for accelerated efforts in establishing an independent state of Palestine and the convening of a more broad-based and effective international peace conference to truly realize the peaceful coexistence between Palestine and Israel," said Wang, underlining the need to resolve the root cause of the conflict to bring peace to the region. The same must be done to ease tensions in the Red Sea, Wang said, stressing that the root cause here was the "ongoing fighting against Gaza." Yemeni Houthis have been targeting vessels in the Red Sea, in particular ones that are bound for Israel. The Houthis say their at tacks aim to pressure Israel to halt its deadly onslaught on the Gaza Strip, prompting the US and Britain to launch retaliatory airstrikes against Houthi targets inside Yemen. Wang said Beijing publicly urges all parties not to harass commercial ships, adding that action must be taken in accordance with international law and with a mandate from the UN Security Council. ANKARA: Turkish security forces "neutralized" six PKK terrorists in northern Iraq, Trkiye's National Defense Ministry said on Saturday. The terrorists were targeted in the Operation Claw-Lock zone, the ministry said on X. The terrorist PKK is known for using northern Iraq, near the Turkish border, as a hideout to plot terror attacks. Turkish authorities use the term 'neutralize' to imply the terrorists in question surrendered or were killed or captured. In its nearly 40-year terror campaign against Trkiye, the PKK - listed as a terrorist organization by Trkiye, the US, and EU - has been responsible for the deaths of more than 40,000 people, including women, children, and infants. Passing bill on support for Ukraine is ‘in vast American interest’: EU Commission chief

ANKARA: It is in the vast American interest to pass the bill on support for Ukraine, the president of the EU Commission said Saturday. "I think we have done a big step forward by agreeing on a pound 50-billion package in the European Union for Ukraine. That was necessary after actually an investment of pound 88 billion in the last two years from the European side," Ursula von der Leyen told a panel discussion at the Munich Security Conference. "I think it is in the vast American interest to pass their bill and their package and to keep on supporting Ukraine," she said. The US Senate approved a $95.34-billion assistance plan for Ukraine, Israel and Taiwan on Tuesday in a 70 - 29 vote, surpassing the 60-vote threshold required in recent years for approval. Approval by the House of Representatives is far from certain. She stressed that not only Russia is waging war on Ukraine and Western democracies, but all the other "autocratic adversaries that we have are watching very closely" to see if those democracies would prevail. Von der Leyen, in this context, noted that European countries must ramp up their defense production and investment. "Therefore, the European Commission will in about three weeks present a defense industrial strategy," she said, and explained that it would be about spending more and ensuring interoperability of the armed forces. "We will open an office in Kyiv for Defense Innovation together with Ukraine because this is the next level," she added. EU foreign policy chief reiterates call on Israel to not launch military attack on Rafah

ANKARA: EU foreign policy chief Josep Borrell on Saturday reiterated his call on Israel to not launch a military attack on Palestinians in the southern Gaza Strip city of Rafah. "The EU asks Israel not to take military action in Rafah that would worsen an already catastrophic humanitarian situation," he wrote on X, sharing the link to one of his previous statements. He stressed that all civilians must be protected in line with international humanitarian law, and called for Israel to respect the International Court of Justice's order issued last month. "We call again on Hamas for the immediate and unconditional release of all hostages," Borrell also wrote. Some 1.5 million Palestinians previously displaced by Israel's offensive on Gaza are holed up in Rafah, seeking refuge from hostilities that have laid waste to wide swathes of Palestinian territory. Violent clashes erupt between Eritrean migrants, police in Netherlands

ANKARA: Violent clashes between Eritrean migrants and police broke out late Saturday in The Hague, Netherlands. A large group of Eritrean migrants forced their way into the Opera House and hurled bricks and rocks at police officers, according to a video that went viral on the social media platform X. Another video on X shows multiple police cars being set ablaze during the ongoing clashes. So far, there is no information on why the clashes began, nor are there any details on casualties.
